And yeah, in the dinner scene from season 2 Walt talks about it like he got shoved out the business, and she turns it around on him, saying that Walt left her, and the business.
She gave no specific details as to why. Hell, the actual reasons may be known only to Walt.

The new bad guy is a guy I recognize! I think he was in a Saw movie? I can't see the next ep preview anywhere, so my guesses for Walt's brilliant plan are based on nothing, but... guessing he tries to insert himself into the new organization? All "you need me!" when they really really don't?

The whole theme so far this season has been Walt finally being the top dog bossman.
Him handing over part of his operation to an outside entity seems unlikely to me.

walt's going to see it as these people working for him, not them horning in on his business. remember, their territory is a good distance away. that's a bigger market
Unless Walt is in complete control (or at least under that assumption) I don't see any deal going down.

you need both though is the thing you're missing
you need the people selling it, and you need a way to get it to them if they're not next door
walt has people selling it locally, but if he wants to make more money he needs to expand
he needs two things to do that: people selling it in new territory, and a way to get it to them
selling it to the phoenix guys, or having them work for him, provides both
