Open Call for Board Member and Moderator Candidates [Until Friday, March 28th, 2025]

Hello!

As detailed in the recent Governance proposals, we're now opening the call for volunteers to be considered for Board Member seats and Moderator positions. While these policies detailed previously are not yet finalized, the reception to the broad strokes was overwhelmingly positive, and because our timeline is running very tight, we're now opening up the call for candidates for both sets of positions now in order to be ready to move on them quickly once the nomination period is complete.

This open call will remain open until 10:00pm (EST) on Friday, March 28th, 2025 -- a slightly accelerated window due to our timeline. Community-wide elections for board members are tentatively scheduled for the following Monday, March 31st 2025. Executive Officers will be appointed immediately after the Board elections are finalized. Moderators will be chosen and ratified shortly thereafter by the freshly elected Board of Directors.

    A Brief Rundown of Various Postions:


    Board of Directors
    The Board of Directors is composed of:
    • Five (5) Directors elected by the community
    • A Diversity, Equity, Inclusion & Accessibility (“DEIA”) Director appointed by the Directors
    • A President appointed by the Directors and the DEIA Director.
    • No large daily time commitment, but expected to be available for regular discussions and votes with the rest of the board on both long and short notice

    Directors
    • Oversees the Executive Officers of the Coin Return Society and ensures the organization is operated in accordance with the will of its Members.
    • Reviews Expressions of Interest for Moderator positions and produces the final list of Moderator candidates for Member ratification.
    • Conducts check-ins with Moderators on a quarterly basis.
    • Reviews and takes action on permanent ban appeals.
    • Votes on Board of Directors actions.

    Diversity, Equity, Inclusion & Accessibility Director
    • A Member who identifies as a BIPOC and/or QUILTBAG person and is appointed by Directors to the position.
    • Advises the Board of Directors and Executive Officers on DEIA-related matters.
    • Participates in the vetting of Expressions of Interest for Moderator positions.
    • Votes on Board of Directors actions.

    President
    • A Member appointed by the Directors and Diversity, Equity, Inclusion & Accessibility Director to the position.
    • Executive Officer per Coin Return Society bylaws.
    • Votes on Board of Directors actions.
    • Carries out and oversees directives from the Board of Directors.
    • Oversees other Executive Officers.
    • Chairs Board of Directors meetings.
    • Ensures the Coin Return Society follows laws and regulations related to 501(c)(7) status.
    • Spokesperson for the Coin Return Society with external parties.


    Executive Officers
    Vice President
    • Provides support to the President.
    • Leads the Coin Return Society in the President’s absence.
    • Coordinates community-led votes.
    • Oversees specific committees within the Society as created by the Board of Directors.
    • Completes any tasks delegated by the President related to organizational management.

    Secretary
    • A Member appointed by the Board of Directors to the position.
    • Schedules board meetings.
    • Records the minutes of board meetings.
    • Maintains document control for legal documents and records.
    • Administers organizational and project management tools.

    Treasurer
    • A Member appointed by the Board of Directors to the position.
    • Fiduciary for the Coin Return Society.
    • Organizes and manages bank accounts as well as accounts receivable and payable.
    • Collects donations.
    • Responsible for other money-related activities.

    Technical Administrator
    • A Member appointed by the Board of Directors to the position.
    • Maintains the security, availability, data integrity, data privacy, and capability of the Forum.
    • Manages Forum software updates.
    • Builds out and maintains new Forum software features as needed.
    • Reviews and approves community-built and/or crowdsourced software modifications.
    • Grants forum roles and elevated privileges to Users in special positions (e.g. Moderators).

    Moderators
    • A Member appointed to the position by the Board of Directors and ratified by a vote of the Members.
    • Manages Member and New Member use of the Forum in accordance with the Coin Return forums’ values, code of conduct, and rules.
    • Expected to have a fair amount of availability daily to moderate the forums.

    BTW, as a reminder, being member of one of the positions excludes you from being member of another.
    As in, Mods can't be board members, Executive officers can't be mods...etc...
    The only exceptions to these are president and DEIA director, who are both board members and part of the executive.

    Actually, the DEIA director is a board member, but an appointed one by the other board members, they're not part of the executive. Only the president is part of both.

    I know you can get a fair amount of details from the rules and KDs being proposed, but could we get a post just giving a few sentences for each position and an estimated commitment time? Just something to baseline expectations for people thinking about it.

    Board elections will be first, and if you are elected for a board seat, you would be disqualified from any of the other positions. Next would be Executive Officer appointments, and if you are appointed to one of these, you would be disqualified from being a moderator. Lastly would be the moderator appointments.

    So if being an EO or a Mod is an acceptable secondary option for you if you aren't elected to the Board, feel free to throw in for both/all three. But if being a Moderator (or an EO) is your most desired option, don't throw in for a position "upstream" from those.

    Pardon if this has been answered somewhere, but what are board elections going to look like? Will it be just a list of names that people are expected to know, will candidates give statements introducing themselves, will there be Super PACs...?

    Board members have 3 year terms. Mods and executive officers are appointed without set term limits (but can, of course, be recalled through actions initiated by the board or the community)

    Not finalized yet. The way I imagine it in broad strokes is that each candidate will have a blurb they can provide to the community explaining who they are and why they feel they’re a good choice for the position in an election announcement post we put up (the response asked for in the EOI form — although we’ll probably confirm with each candidate before the election starts to see if they want to revise that), and from there it will just be a ballot that all community members can fill out.

    Only the current interim Board can see these submissions, as we are the ones who will have to facilitate the election for the first elected Board.

    Names and the answer to the "Tell us about yourself" field would be made public for the Board Member election -- although we'll likely confirm with each candidate to confirm whether they want to make any changes to their statement before going live.

    For Moderators and Executive Officers, the names of the candidates selected by the Board will be made public (and voted for confirmation, in the case of Moderators), and other answers on those EOIs are for the Board to make their decision.

    Only in the sense that you could be held personally liable for malfeasance (knowingly breaking laws, embezzling funds, etc) committed in your role. Otherwise there would be no tax liability or anything similar for board members (or EOs). Basically just what you said at the end: your name appears on a list of directors on our annual report that is filed with the state of Delaware by the president/secretary.

    I think a Q&A type situation would help. Folks submit questions for the person to answer, but the person answering also does not have to answer every single question.

    To clarify, (according to our most recent governance proposal, which shouldn’t change much at all before being finalized) mods aren’t “elected” — at least not in an open community election.

    The board selects the number of mods needed to fill the currently open positions (so, if 6 spots are available, they choose the best 6 from however large the volunteer pool is), and present those candidates to the community. The community just does a simple up/down majority confirmation vote on each to ratify the board’s choices.

    And yes, that should be the process going forward as well. The main difference is that in the future we will probably only be selecting one or two mods at a time, compared to now where we’ll be filling the entire staff at once.

    The voting window for community-wide elections is currently proposed to be 7 days -- since there weren't substantial objections to that timeline, that's what we'll be going for with this inaugural election.
